PLEASE READ THESE TERMS OF SERVICE CAREFULLY.
BY ACCESSING THE OoPHE PORTAL/APPLICATION/WEBSITE OR USING THE SERVICES PROVIDED BY OoPHE PATIENT SOLUTIONS LIMITED IN ANY MANNER WHATSOEVER, YOU AGREE TO BE BOUND BY THE:
(1) OoPHE’S TERMS OF SERVICE; AND
(2) OoPHE’S PRIVACY POLICY.
IF YOU DO NOT AGREE WITH THESE TERMS, PLEASE DO NOT ACCESS THE OoPHE PORTAL/APPLICATION/ WEBSITE OR USE THE OoPHE SERVICE. THE HEADINGS CONTAINED IN THESE TERMS ARE FOR REFERENCE PURPOSES ONLY. YOU SHOULD PRINT A COPY OF THESE TERMS FOR YOUR RECORDS.
1. What Are You Agreeing To?
1.1 Parties to These Terms
These terms and conditions (“Terms“) form a legally binding agreement between your company (“Employer”, “You”, or “Your”) and OoPHE Patient Solutions Limited (“OoPHE“, “We“, “Us“, or “Our“) regarding the use of OoPHE’s healthcare financing services and platform by You and Your employees. By signing up for or using OoPHE Employer Portal and Services as an Employer, you agree to be bound by these Terms.
Definitions
Capitalized terms used in these Terms and not otherwise defined shall have the following meanings:
- Employer Account means a record maintained by OoPHE reflecting the Employer’s balance, disbursements, and allocations to Employee Accounts.
- Authorized Employee means an employee designated by You to receive benefits through OoPHE.
- CorporateCare™ means the pre-funded healthcare benefit plan administered through OoPHE that allows You to allocate funds for Eligible Health Services.
- CareCredit™ means the employee-accessed credit facility administered by OoPHE and supported by Financing Partners, repayable via payroll deductions, with no financial liability to the Employer.
- Financing Partner means the Third-party lender providing credit under CareCredit™.
- Eligible Health Services means Healthcare services approved by You for access via CorporateCare™ or CareCredit™.
- Portal: The web or mobile interface provided to You for managing benefits and employees.
- Services means the products, features, and support offered by OoPHE to Employers and Authorized Employees.
1. Scope of Services
OoPHE provides a healthcare financing and benefits platform that enables Employers to fund or facilitate employee access to Eligible Health Services.
Services include the OoPHE CorporateCare™ and/or OoPHE CareCredit™ programs, employee onboarding support, usage analytics, and administrative controls.
2. Onboarding and Account Setup
You will sign a service agreement outlining the selected product (CorporateCare™, CareCredit™, or both), funding model, spending limits, and transaction approval rules.
- OoPHE will create an Employer Account and issue credentials to your designated administrator.
- You are responsible for uploading accurate employee and dependent data, assigning roles and limits, and updating records as needed.
- You may pre-fund CorporateCare™ or authorize employee access to CareCredit™, based on your agreement.
3. Employer Obligations
3.1 You agree to:
- Designate an authorized administrator for managing Your Employer Account.
- Provide accurate employee and dependent data required for onboarding.
- Maintain accurate and up-to-date employee data, including employee status and payroll information.
- Set and manage spending limits for Employee Accounts under CorporateCare™.
- Facilitate payroll deductions for employee repayments under the CareCredit™ program.
- Review and approve high-value or flagged transactions in a timely manner if required.
- Cooperate with OoPHE in resolving discrepancies or fraud cases.
- Fund Employer Accounts (if using CorporateCare™) in a timely manner as agreed in the onboarding contract.
- Promptly notify OoPHE of employee terminations, resignations, or long-term leave that may affect their eligibility or account access.
3.2 You are responsible for:
- Enforcing internal policies regarding who can access these benefits and the approval of spending.
- Ensuring employee awareness of their rights and responsibilities under the program.
- Monitoring and addressing misuse of benefits within your organization.
4.1 Your Use of CorporateCare™
- CorporateCare™ allows You to pre-fund healthcare expenses for your employees.
- Funds deposited by the Employer under the CorporateCare™ plan are used exclusively for employees and their dependents healthcare disbursements to licensed healthcare providers.
- You may control:
- Approved spending categories.
- Limits per employee or dependent.
- Authorized facilities or providers.
- Unused balances remain under your ownership unless otherwise agreed.
- Disbursements to providers are final and non-refundable unless fraud is confirmed.
4.2 Your Use of CareCredit™
- OoPHE CareCredit™ is offered directly to employees as a credit facility.
- Employers are not financially liable for employee use of CareCredit™.
You agree to:
- Deduct authorized repayment amounts from employee payroll in accordance with the repayment schedule.
- Remit repayments to OoPHE or its Financing Partner within the agreed period.
- Inform OoPHE of employment terminations or salary changes that affect repayment.
- OoPHE is not liable for any missed or failed payroll deductions due to Your non-compliance.
5. Fees and Payments
- You agree to pay all applicable annual subscription fees and any service charges as specified in the signed contract.
- OoPHE will invoice You based on agreed billing cycles.
- All fees are non-refundable unless otherwise agreed in writing.
- Failure to pay may result in account suspension.
6. Termination
- These Terms remain effective as long as You have an active agreement with OoPHE.
- OoPHE may suspend or terminate the Employer’s access for material breach of these Terms, non-payment, or fraudulent activity.
- Employers may request termination by providing 30 days’ written notice, subject to the settlement of all outstanding obligations.
- Upon termination:
- OoPHE will deactivate employer access.
- All employee access will be revoked and the remaining balances refunded (if contractually agreed).
- You must settle any outstanding amounts or pending payroll deductions
- You remain liable for all actions taken before the termination date.
7. Disclaimers and Limitation of Liability
OoPHE is not liable for:
- Any unauthorized use of Employer or Employee Accounts due to your internal access controls.
- Delays in employer funding
- Delays in Your payroll deductions or failure to remit repayments where agreed
- Employee misuse of the Services
- Medical outcomes or healthcare provider negligence
- Third-party service interruptions (e.g., system downtime, MoMo delays).
- Errors resulting from inaccurate employer data.
The Employer is solely responsible for verifying the eligibility of employees provided to OoPHE.
8. Data Protection and Privacy
- Both parties agree to comply with applicable data protection laws.
- You agree to collect and share employee data lawfully and only for the purpose of enabling service delivery through OoPHE.
- OoPHE will store and process personal data only for the purposes of service delivery and fraud prevention.
- OoPHE will maintain confidentiality of employee health and payroll data as outlined in the Employer Privacy Policy.
- You must notify Us of any data inaccuracies or breaches originating from your systems.
9. Intellectual Property
OoPHE retains all rights to its platform, materials, trademarks, and content. You may not reproduce, resell, or reverse-engineer any part of the system.
10. Governing Law and Dispute Resolution
- These Terms are governed by the laws of Ghana.
- Disputes shall be resolved through arbitration in Accra, in accordance with applicable arbitration rules.
11. General
- These Terms constitute the entire agreement between You and OoPHE unless otherwise supplemented by a signed contract.
- No waiver or modification is valid unless in writing.
- If any provision is found invalid, the remainder shall remain enforceable.
- OoPHE reserves the right to update these Terms. Continued use constitutes acceptance.

OoPHE Patient Solutions Limited (“OoPHE”, “we”, “our”, or “us”) is committed to protecting the privacy of employers (“you”, “your”, or “Employer”) who use our healthcare financing platform. This Employer Privacy Policy explains how we collect, use, store, and share personal and organizational data provided by employers in the course of onboarding, managing accounts, and supporting employees through our services.
1. Scope
This Policy applies to all employer data provided to OoPHE, including:
- Company data (e.g., company name, contact details, HR/administrative users).
- Employee data submitted by employers (e.g., names, ID numbers, dependents).
- Transactional and benefit usage data related to CorporateCare™ and CareCredit™.
2. Data We Collect
We may collect the following information from you:
a. Company and Administrative Information
- Company name and registration details
- Authorized contact persons and administrators
- Contact information (email, phone number, address)
b. Employee and Dependent Information
- Full name, employee ID, mobile number, and email
- Dependents’ names and relationships
- Assigned spending limits and coverage types
- Employment status (for eligibility tracking)
c. Usage and System Data
- Login timestamps and account activity
- Fund disbursement and utilization history
- Audit logs related to changes in employee access or employer settings
3. How We Use Employer Data
OoPHE uses the information you provide to:
- Set up and manage your Employer Account and associated Employee Accounts
- Enable the delivery of healthcare financing under CorporateCare™ and CareCredit™
- Support payroll deduction coordination (where applicable)
- Facilitate reporting, compliance, and transaction auditing
- Monitor fraud, misuse, or unauthorized access
- Communicate with you regarding system updates, account notices, or support needs
4. Legal Basis for Processing
We process employer data under one or more of the following legal bases:
- Contractual necessity: to fulfill obligations under the Employer agreement.
- Legal compliance: to comply with financial and data protection laws.
- Legitimate interests: to improve service quality, security, and accountability.
5. Data Sharing and Disclosure
We may share employer-provided data:
- With your Authorized Users: for account administration.
- With employees: limited to their personal spending and benefit data.
- With Financing Partners: only as required for disbursing and managing CareCredit™.
- With regulators or law enforcement: if legally required under Ghanaian law.
- With service providers: who process data on our behalf (e.g., cloud storage, IT providers) under strict confidentiality and data protection obligations.
We do not sell or rent your data to third parties.
6. Data Security
OoPHE implements appropriate technical and organizational measures to safeguard your data, including:
- Role-based access controls
- Encrypted transmission and storage
- Multi-factor authentication
- Audit trails and system monitoring
However, no system is entirely immune from risks. We encourage you to enforce access control among your internal administrators.
7. Data Retention
We retain employer-related data for as long as your contract remains active and for a minimum of six (6) years after account closure, in compliance with regulatory and auditing requirements.
8. Your Rights
As an Employer, you have the right to:
- Access and review the data you’ve provided
- Request correction of inaccurate data
- Request deletion of redundant or obsolete data (subject to legal obligations)
- Object to processing under specific grounds (where applicable)

9. International Data Transfers
If any data processing involves storage or access from outside Ghana, it will be done in accordance with applicable data protection laws and with safeguards in place (e.g., data processing agreements, secure data centers).
10. Updates to This Policy
OoPHE may update this Privacy Policy from time to time. We will notify you of significant changes via email or through the Portal. Continued use of the services after updates constitutes acceptance of the revised terms.
